1. Legal Agreement
Using the app means confirming you are 18+, competent under Indian contract law, and agreeing to electronic contracting.
2. Nature of Platform
Nizhal is an online interactive entertainment and conversational engagement platform, not therapy or medical care.
3. User Eligibility
Users must be 18+, provide accurate information, and follow Indian law.
4. Account Responsibility
Users manage their own credentials and wallet; the company can suspend or delete accounts without notice.
5. Payments & Billing
Prepaid wallet system; charges deduct automatically once a session starts, and transactions are final.
6. No Refund Policy
Refunds are given only for proven technical failure attributable to the company. Network issues or dissatisfaction are NOT valid refund grounds.
7. Prohibited Conduct
Harassment, explicit language, sharing contact information, recording without consent, fraud, and illegal content are prohibited.
8. Misconduct Consequences
The company may block accounts, keep wallet balance, and report abusive users to authorities.
9. No Personal Info Exchange
Sharing contact details or moving off-platform is prohibited; the company disclaims liability for voluntary disclosures.
10. VOIP/Network Disclaimer
No liability for call drops, internet failures, or telecom restrictions.
11. Intermediary Status
The company is an intermediary under IT law and is not responsible for user content.
12. Intellectual Property
All app content and branding belongs to Shadowmedia.
13. Limitation of Liability
Liability is capped at INR 1 or the amount paid in the preceding 30 days, whichever is lower.
14. Indemnification
Users must indemnify the company for breaches, illegal conduct, or payment disputes.
15. Termination
Access can be revoked without notice; dues remain owed.
16. App Store Clause
Apple and Google are named as third-party beneficiaries and are not liable for service issues.
17. Governing Law
Indian law applies, with jurisdiction in Ernakulam, Kerala.
18. Dispute Resolution
Amicable resolution is attempted first (60 days), followed by arbitration in Ernakulam under the Arbitration and Conciliation Act, 1996.
19. Force Majeure
No liability for disasters, pandemics, government orders, and similar events.
20. Modifications
Terms can change at any time; continued use constitutes acceptance.
